MAi Pay Terms and Conditions

1. INTRODUCTION

By accessing or using any product or service provided by MAi Pay LLC (“MAi Pay,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms govern your use of our website (www.gomaipay.com) and all associated merchant-processing products, tools, and features (collectively, the “Service”).

If you do not agree with these Terms, you may not use the Service. We may update them periodically; the newest version is shown by the Effective Date above.


2. DEFINITIONS

Merchant / Client: Any individual or business using MAi Pay’s merchant-processing Services.
Service: The MAi Pay payment platform, hardware, software, APIs, and merchant tools.
Processor: The financial institution or third-party network used to settle transactions.
Transaction Data: All information generated from card or digital-payment processing.
Fees: All applicable service, interchange, and network charges.


3. ELIGIBILITY

The Service is intended for lawful U.S. businesses and individuals at least 18 years old. By enrolling, you confirm you have authority to enter binding agreements on behalf of your business.


4. SERVICE DESCRIPTION

MAi Pay provides merchant-processing solutions enabling businesses to accept credit, debit, and electronic payments in person and online. Core features include:

Complimentary Wi-Fi or countertop terminals.

Next-day funding (subject to processor approval and cut-off times).

Transparent, flat-rate pricing.

PCI-compliance guidance and chargeback assistance.

Online reporting dashboards and analytics.

Features may change or expand at any time to improve performance or meet regulatory standards.


5. ACCOUNT SETUP & APPROVAL

All merchants must complete an application and underwriting review. Approval is subject to processor and bank verification. MAi Pay may request financial or identification documents to comply with KYC/AML regulations.

Merchants are responsible for keeping login credentials, settlement details, and contact information accurate and secure.


6. FEES & PAYMENT

Processing Fees: Applied per transaction at the rates disclosed in your merchant agreement.

Other Charges: Possible network or retrieval fees as required by card associations.

No Monthly Service Fees or Contracts: MAi Pay offers month-to-month processing; merchants may cancel anytime with written notice.

Chargebacks & Adjustments: Merchants are responsible for chargeback amounts and associated network fees.

All debits and credits occur via ACH to the bank account on file.


7. MERCHANT RESPONSIBILITIES

Merchants agree to:

Process only legitimate, authorized transactions.

Maintain PCI-DSS compliance.

Respond promptly to retrieval or chargeback requests.

Follow all card-brand rules and federal/state regulations.

Use hardware and software provided by MAi Pay or its partners as intended.


8. TERMINALS & EQUIPMENT

Complimentary terminals remain the property of MAi Pay LLC or its fulfillment partners until all processing obligations are satisfied. Lost or damaged equipment may incur replacement costs.


9. DATA SECURITY & PRIVACY

MAi Pay uses encryption, tokenization, and secure gateways to protect sensitive cardholder data. We comply with applicable PCI standards but cannot guarantee absolute security. Merchants must maintain adequate cybersecurity measures on their own networks.


10. LIMITATION OF LIABILITY

The Service is provided “as is.” MAi Pay LLC is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption. Your sole remedy for dissatisfaction with the Service is to discontinue use.


11. TERMINATION & SUSPENSION

MAi Pay may suspend or terminate Service immediately for:

Breach of these Terms.

Fraudulent or prohibited transactions.

Excessive chargebacks or network violations.

Non-payment or unresolved negative balances.

Merchants may terminate by giving seven (7) days’ written notice.


12. DISPUTE RESOLUTION

All disputes shall be resolved through binding arbitration in Broward County, Florida, under Florida law. Each party bears its own legal fees unless otherwise required by law.


13. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, excluding conflict-of-law principles.


14. MODIFICATIONS TO SERVICE OR TERMS

MAi Pay may revise pricing, policies, or features with reasonable notice via email or website posting. Continued use of the Service after such changes constitutes acceptance.
